How To Form A Corporation In North Dakota

A North Dakota corporation is formed by filing articles of incorporation with the North Dakota Secretary of State, Business Division. The N Dakota articles of incorporation must include the name of the corporation, the name and address of the registered agent, names and addresses of each incorporator, the names and addresses of the directors, the effective date of incorporation, the number of shares to issue and par value. A North Dakota corporation has a general purpose unless you specify something else, or unless the purpose is for banking, farming, and insurance(insurer backing claims). The duration of the corporation is perpetual unless you state otherwise. The incorporator must sign the articles. There is no online filing option, so you have to fax or mail your filing.

You will need a name that is not the same or deceptively similar to another N Dakota corporation. The N Dakota Secretary of State determines whether or not a name is available. The fastest way to check to see if a name is taken is to do a business search on the North Dakota SOS website. If you want to use a trade name (a name other than the corporate name), you need to file a Trade Name Registration with the SOS.
